DEFINITIONS: (as per the Consumer Protection Act,2021 (as amended) With Rules, including GST Laws and e commerce rules 2020. (including other definitions and amendments from time to time.

a) “Act” means the Consumer Protection Act, 2019 (35 of 2019);

b) “e-commerce entity” means any person who owns, operates or manages digital or electronic facility or platform for electronic commerce, but does not include a seller offering his goods or services for sale on a marketplace e- commerce entity;

c) “grievance” includes any complaints to an e-commerce entity regarding violations of the provisions of the Act and the rules made thereunder;

d) “GSTIN” means the Goods and Services Tax Identification Number as under the Central Goods and Services Tax Act, 2017 (12 of 2017)

e) “information” shall have the same meaning as to it clause (v) of sub-section (1) of section 2 of the Information Technology Act, 2000 (21 of 2000);

f) “Inventory e-commerce entity” means an e-commerce entity which owns the inventory of goods or services and sells such goods or services directly to the consumers and

g) “marketplace e-commerce entity” means an e-commerce entity which provides an information technology platform on a digital or electronic network to facilitate transactions between buyers and sellers;

h) “PAN” means Permanent Account Number as under section 139A of the Income Tax Act, 1961 (43 of 1961);

i) “platform” means an online interface in the form of any software including a website or a part thereof and applications including mobile applications;

j) “seller” means the product seller as defined in clause (37) of section 2 of the Act and shall include any service provider;

k) “user” means any person who accesses or avails any computer resource of an e-commerce entity.
 

USER/CLIENT SPECIFIC BINDING TERMS FOR USE OF WEBSITE
 

I. SCOPE:
The user herein shall be a person who shall be 18 years  of age and above and be eligible under the  Indian Contract Act,1872 and with every click to accept the same shall be as equal to signing of a contract upon agreeing the terms herein written.
The user upon input of original and authentic name/details credentials is ready to operate the website
The website shall provide necessary pictorial and video graphic inputs of the goods/services which the user prefers to avail.
That the user shall click and “Add to cart” the preferred selection upon their own satisfaction and requirements.
That upon such Add to Cart the payment gateway shall be online/ UPI or card mode through the linked banking interface and upon such booking confirmation the details with the required selected item shall be placed to the vendor/supplier who shall immediately confirm the due availability and that from then the performance guarantee and warrantee shall be transferred on the vendor.
That therein after the company shall not be acting as a bank or depository of payments and thus, will act merely as a platform to provide the necessary service/goods duly present on date and time with the user.
PAYMENT MODULE: The payment module shall be through a bank interface. Accepted payment methods include UPI, credit cards, debit cards, and online payments, with Razor Pay available as a payment option. Additionally, scanner payments via UPI are supported.
BANKING PARTNER DETAILS

Cash on Delivery is not accepted. All transactions are secured using industry-standard encryption, ensuring the safety and confidentiality of customer information. A confirmation receipt will be provided for every successful transaction.
 

II. RETURN/EXCHANGE POLICY/RESCHEDULING CLAUSE OR CANCELLATION:
That the user once makes payment and upon booking of any service shall be not subject to any refund even although the same stands cancelled generally and that refund shall specifically apply to certain categories only.

REFUND For specific products in the category of cakes, and chocolates, no refund shall be granted upon cancellation. That it shall also include
That with regards specific décor with balloons or music events or boats provided that the request is made at least 72 hours before the scheduled delivery. Cancellations may be allowed subject to holding the 25% of the amount as equitable reimbursement to the vendor and company personnels.
NO REFUND ALLOWED:
No refund shall be allowed in case of customised gift products and items or decors which are event or people specific.
No refund on cakes or food items and other items as may be written on website subject to availability
EXCHANGE:
That the company doesn’t have relevant exchange policy but it is only restricted to defected and damaged gift non customised items or decors or lights and the same shall be subject to spot verification and satisfaction.
That in case of damage of customised item there shall be equitable refund subject to satisfaction of the company.
RESCHEDULEMENT CLAUSE:

That company herein wishes to reschedule certain events which may be restricted to decors or rides or activities specific to contract and that if any reschedule is thus, made shall be within a specified time frame (48 hrs-72hrs) as shall be available in the website faltering which the amount shall stand forfeited.
That in case of decors of balloons or non-perishable artificial flowers a reschedule may be allowed subject to the time frame as mentioned each product.
CANCELLATION:
If any product is cancelled prior to 72 hours of delivery 50% payment refund
If any product is cancelled prior to 24 hours within 72 hours of delivery 40% payment refund
If any product is cancelled within same day of booking and delivery no refund will be given.
These specifications may vary with time and as per category of goods and catalogues
 

III. SPECIFIC TERMS /CONDITIONS/LIABILITIES AND RESPONSIBILITIES OF COMPANY WITH USER AND VENDOR:

User – shall and is liable to abide by the foregoing paragraphs, including the underlying elements and the same shall be treated as binding contract.

Vendor/supplier/assignee – shall be liable to all the terms as mentioned herein read together with the individual agreements.
 

IV. FAIR USE: (PRODUCT VERIFICATION) AND CONDUCT POLICY:

We always strive hard to provide the best experience to our customers on the platform. To ensure that all customers use our platform in good faith, we keep track of customer behaviour which includes maintaining order history and other details relating to the manner of use of our platform. In the event of any abuse of our platform or the policies, which include excessive returns or refusal to accept shipments, indication of any fraudulent or suspicious activity or behaviour on our Platform or association with any such activity or behaviour, including where your user metrics such as your claim rate, return rate etc., are higher than the average rate of the others users on our platform. Customers whose profiles indicate high volumes of valid transactions on the platform may be offered benefits by suppliers, from time to time, based on their discretion on and policies

That in case of gross misconduct of the customer by way of abusive or untoward behaviour the same shall be subject to report and their user login to the company website shall stand cancelled.

That severe legal actions will be taken if the user misuses its power and manhandles deliberately to cause harm to the vendor or partners of the company.

That the company protects the user from getting authentic and spontaneous promised delivery and thus, has made lenient efforts to conduct spot on verification upon delivery to ensure the goods and services and potentially up to the mark as promised.
 

V. WHISTLE BLOWER:

A whistle blower is a person within the company or vendor or customer who can share miscreance and misuse of any basic code of conduct and due to which severe legal action may be ensued upon the mi’s creator with due evidence. That due customer contact cells at place will act as a mode to allow open grievance cell to protect and preview every work and actions of different models.
 

VI. ANTI PHISING POLICY:

The company shall under protection measures by deploying up to date anti phishing elements which shall protect from any malware or criminal threatening activities both the data, email and other passwords of the company as well as of any users. That the company shall undertake to deploy protection of elements within the company as well. That the company ensures no misuse of brand names and brand culture shall be entertained. That all forms of cyber security threats shall be made protected by highly qualified individuals.
 

VII. TERMINATION POLICY:

That all forms of termination of either user or vendor shall be under the discretion of the company upon just cause.
User termination shall be on misuse of the login portal, or providing fake ids, multiple id logins or frequent harassment and cancellation of orders beyond the decorum of the company and the same shall stand cancelled.
The termination of vendor shall be subject of their independent agreements.
That the Vendors are bound by 3 years contract which is renewable as per the wish of the company.
That the company holds the right to cancel/ terminate any contract on violation of clauses of confidentiality, intellectual property, data security or behavioural policy and other ancillaries if any.

VIII. USER INFORMATION/DATA SECURITY AND PRIVACY POLICY:

The company is committed to ensuring the utmost security and confidentiality of customer data. All customer information collected and stored by the company is treated with the highest level of sensitivity and protection. Any unauthorized access, disclosure, or sharing of customer data is strictly prohibited. Furthermore, in the event that any individual or entity/user or vendor is found to be trading or exploiting customer data, strict disciplinary action will be taken, including legal recourse if deemed necessary. We prioritize the verification of all parties accessing customer data to ensure that only authorized personnel are granted access. Our stringent measures underscore our unwavering commitment to safeguarding the privacy and trust of our valued customers. Although, there is no exclusive data protection law in India, the privacy and data protection is mandated under Section 43A of Information Technology Act, 2000 read with Information Technology (reasonable security practices and procedures and sensitive personal data or information) Rules, 2011 including other laws as shall stand amended
 

IX. INTELLECTUAL PROPERTY:

The company shall adhere and bound other vendors or clients against misuse/ abuse/ infringement of trade mark of their business registered name being “HYPEHIVE EVENTFUL PRIVATE LIMITED”

"Trade Marks" means a mark capable of being represented graphically and which is capable of distinguishing the goods or services of one person from of the others and may include service marks, logos, designs, trade dress, shape of goods, their packaging or combination of colours, as are duly registered and/or pending registration under the Trade Marks Act, 1999.

"Copyrights" in, copyrighted works and copyrighted materials i.e. literary, dramatic or musical work or artistic work, owned, acquired or validly licensed to any person in terms of the Copyright Act, 1957.

Music/performer right

Other intellectual property rights legally valid and recognized in India such as trade secrets, proprietary know-how, any patentable or non- patentable inventions, discoveries or any modifications, adaptations, derivatives or improvements of each of the above.

That any design, concept and curation of customized products that have been exclusively designed by the company, the design and the concept shall be protection by the Designs Act and the Copyright laws within India.

Any infringement/assignment/passing off of goods, marks and design shall ensue definitive legal actions against the infringer.
 

X.  DISCLAIMER AND DAMAGES:

Company shall time to time upgrade/delete/remove or amend certain terms and the users as well as the vendors have to be beware of the same. “Buyer beware”/ “User Beware”.

Company, in no event, is or will be liable to User including the Reseller or anyone claiming through a User in respect of product or other User Transaction under contract, negligence, strict liability or other legal or equitable theory for any special, incidental, indirect, consequential, exemplary or punitive damages, loss of goodwill, loss of revenue, loss of opportunity, loss of anticipated profits, whatsoever, including those resulting from loss of use, data or profits, whether or not foreseeable or whether or not Company has been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty or negligence or any other claim arising out of or in connection with the use of or access of Platform.

Company shall not be liable for: any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation any financial losses, loss of data, replacement costs, or any similar damages, whether based in contract, tort, strict liability or otherwise, arising from the use of Platform, or for any other claim related in any way to the use of the Application, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Application/Platform or any content posted, transmitted, or otherwise made available via the Application/Platform, even if advised of their possibility.

Users shall be solely responsible for damages, if any, to their data system or for loss of data arising from download of content from Platform. No guidance or information, written or oral, obtained from Company or via the Platform, shall constitute any warranty, unless stated otherwise. The Suppliers listing their products on the Platform are solely responsible for the accuracy of product information. Users shall solely be responsible for using the products in a safe and legal manner. The Company shall not assume any loss, claims, damages, or injury, that may arise from the violent or illegal use, or misuse of the product sold by the Suppliers over Platform.
 

XI. FORCE MEJEURE:

Company shall not be liable for any damages whatsoever arising out of force majeure or other similar circumstances, directly or indirectly affecting Company and/or the Platform. Examples of force majeure events include without limitation real or potential labour disputes, governmental actions, war or threat of war, sabotage, civil unrest, demonstrations, fire, storm, flooding, explosion, earthquake, epidemic or pandemic, provisions or limitations of materials or resources, inability to obtain the relevant authorization, accident, and defect in electricity or telecommunication network. Force majeure or other events beyond the Company’s control, hindrance, delay or complication in the maintenance of the Platform entitles the Company to suspend or limit the Platform until further notice.

XIII. CONSUMER PROTECTION (E-COMMERCE) RULES 2020:

That all the policies and rules mentioned in the CONSUMER PROTECTION (E-COMMERCE) RULES 2020 shall be duly applicable and every such amendment shall be part of the terms herein and be read as one.
 

XIV. AMENDMENTS:

That all the policies mentioned are subject to amendments as an when the company prefers and shall be duly notified/ added/ deleted/ amended as per the situation and requirement of the Company and laws passed by the Government of India herein.
 

XV. GOVERNING LAW AND DISPUTE RESOLUTION:

The Users in case of any grievance or discrepancy shall write us as HYPEHIVE EVENTFUL PRIVATE LIMITED and the contacts given for communication for due resolution and if the same is not found any disputes arising out of or in connection with this website including its interpretation, validity, and performance, shall be subject to the exclusive jurisdiction of the courts located in Kolkata.
 

XVI. MISCELLENOUS:

a. That customer shall not use discreet behaviour on the vendor and/or use any abusive gesture or language both towards the company or vendor and thus, the company shall have rights to take action for the same.

b. That the user is to provided with OTP and other codes to have sealed the one-to-one direct purchase-sale module.

c. That the user at times may be asked for review/feedback or company verification/spot verification and the user has to cooperate with the same.

d. This service is completely customized as per your choice.

e. The balloons will be filled with normal air, not helium or other harmful substances that may cause health concerns.

f. Please make sure that someone is physically present at the venue while the decoration is going on.

g. Message card is not included with any of the product therefore it won’t be delivered along with the product.

h. In the case of decoration service providers have to arrive at the venue physically and complete the decoration within the given time frame.

i. The displayed image is only indicative in nature, actual product may vary in shape, color, or design as per availability.

j. The total setup is for rental purposes.

k. In case the decoration is being installed at the ceiling or high wall for such cases ladder has to be provided by the customer for the completion of the work.

l. The decorator will wait only for 45 minutes after reaching the venue.

m. No rescheduling or cancellation will be applicable after the completion of the decoration.

n. If the decoration has to be done at the banquet hall or hotel then prior permission from the hotel or venue manager has to be taken by the customer and the same has to be provided to book your event for the setup.

o. In the case of 3rd party venue, permission to use the side tape for balloon decoration has to be taken by the client side.

p. Customers shall be held responsible for any damage, loss, or destruction of the vendor's property that occurs during the use of the vendor's services or products. In the event of such damage, loss, or destruction, the customer agrees to fully compensate the vendor for all repair or replacement costs
